ITEM 8.01  OTHER EVENTS.

Diversified Restaurant Holdings, Inc. (the “Company”) is currently conducting an offering of its common stock pursuant to the terms of a prospectus dated March 17, 2008.  The prospectus provides that the offering will terminate on July 1, 2008, unless extended by the Company until March 1, 2009.

The Board of Directors of the Company has met and determined to extend the offering until March 1, 2009 in accordance with the terms of the prospectus.  The Company reserves the right to terminate the offering prior to March 1, 2009, in its discretion.
