January 2, 2020,

Ergon exercised its right under the Agreement related to Cimarron Express to require the Partnership to purchase the outstanding member interest in DEVCO, and the Partnership paid

$12.2

million on

January 3, 2020

to settle the amount in full.  See Note

12
