EXPLANATORY NOTE

This Amendment No. 1 on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K (the “Original Filing”) of WABCO Holdings Inc. (the “Company”) filed with the Securities and Exchange Commission on December 11, 2014. The Company is filing this Amendment to provide additional information related to the appointment of David N. (“Nick”) Reilly, CBE to a committee of the Company’s Board of Directors (the “Board”) in Item 5.02. The Original Filing is not modified in any other respects.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On February 10, 2015, the Board appointed David N. (“Nick”) Reilly, CBE to the Audit Committee. As previously disclosed in the Original Filing, Mr. Reilly was appointed to the Board on December 5, 2014.
