Exterran Holdings, Inc. to Offer $250 Million of Convertible Senior Notes
HOUSTON, June 3, 2009 — Exterran Holdings, Inc. (“Exterran” or the “Company”) (NYSE: EXH) today announced a public offering, subject to market and other conditions, of $250 million principal amount of convertible senior unsecured notes due June 15, 2014 in an underwritten registered public offering. In connection with this offering, the Company also expects to grant the underwriters a 30-day option to purchase up to $37.5 million principal amount of additional notes to cover over-allotments.
Holders of the notes may elect to convert their notes under certain circumstances. Upon conversion, Exterran will deliver to such converting holders cash, shares of the Company’s common stock, or a combination of cash and shares, at its election. The offering price, interest rate, conversion price and other terms of the notes will be determined by Exterran and the underwriters.
In connection with the offering of the notes, the Company expects to enter into convertible note hedge transactions with one or more of the underwriters and/or their affiliates (the “Counterparties”). The convertible note hedge transactions are expected to reduce the potential dilution to the Company’s common stock upon conversion of the notes. The Company also expects to enter into warrant transactions with the Counterparties. However, the warrant transactions could separately have a dilutive effect to the extent that the market value per share of the Company’s common stock exceeds the applicable strike price of the warrants when they are exercised.
The Company expects to use a portion of the net proceeds from this offering to pay the cost of the convertible note hedge transaction (after such cost is partially offset by proceeds from the sale of the warrants). The remainder of the net proceeds from the sale of the notes will be used to pay down borrowings under the Company’s revolving credit facility and its asset-backed securitization facility. If the underwriters exercise their over-allotment option to purchase additional notes, the Company may sell additional warrants and use a portion of the proceeds from the sale of the additional notes, together with the proceeds from the sale of the additional warrants, to enter into additional convertible note hedge transactions.
In connection with establishing their initial hedge of the bond hedge and warrant transactions, Exterran expects that the Counterparties or their respective affiliates will enter into various derivative transactions with respect to Exterran’s common stock concurrently with, or shortly after, the pricing of the convertible senior notes. This activity could increase (or reduce the size of any decrease in) the price of Exterran’s common stock at that time. In addition, the Counterparties or their affiliates may modify their hedge positions by entering

into or unwinding various derivative transactions and/or purchasing or selling Exterran’s common stock in secondary market transactions following the pricing of the convertible senior notes and prior to maturity of the convertible senior notes (and are likely to do so during any settlement period related to the conversion of the convertible senior notes). This activity could also cause or avoid an increase or a decrease in the market price of Exterran’s common stock or the convertible senior notes and, to the extent the activity occurs during any settlement period related to a conversion of convertible senior notes, it could affect the number of shares and value of consideration that noteholders will receive upon conversion of the notes.
