(1) Pursuant to Rule 416(a) of the Securities Act of 1933, as amended (“Securities Act”), this Registration Statement on form S-8 (this “Registration Statement”) shall also cover any additional shares of iRhythm Technologies, Inc.’s (the “Registrant”) common stock that become issuable under the Registrant’s 2006 Stock Plan (the “2006 Plan”), the Registrant’s 2016 Equity Incentive Plan (“2016 Plan”) and the Registrant’s 2016 Employee Stock Purchase Plan (“2016 ESPP”) by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of the Registrant’s outstanding shares of common stock.

 

(2) Represents 2,732,558 shares of the Registrant’s common stock reserved for issuance pursuant to equity awards outstanding under the 2006 Plan as of the date of this Registration Statement. To the extent that any awards outstanding under the 2006 Plan expire, are forfeited or are otherwise repurchased by the Registrant subsequent to the date of this Registration Statement, the shares of common stock reserved for issuance pursuant to such awards will become available for issuance as shares of common stock under the 2016 Plan. See footnote 3 below.

 

(3) Represents (i) 3,627,704 shares of the Registrant’s common stock reserved for issuance pursuant to future awards under the 2016 Plan, (ii) 237,296 shares of the Registrant’s common stock reserved for issuance pursuant to equity awards outstanding under the 2016 Plan as of the date of this Registration Statement and (iii) 240,609 shares of the Registrant’s common stock previously reserved but unissued pursuant to the 2006 Plan that are now available for issuance under the 2016 Plan. To the extent that any awards outstanding pursuant to subsection (ii) of this footnote 3 or any awards outstanding under the 2006 Plan expire, are forfeited or are otherwise repurchased by the Registrant subsequent to the date of this Registration Statement, the shares of common stock reserved for issuance pursuant to such awards will become available for issuance as shares of common stock under the 2016 Plan. See footnote 2 above.

 

(4) Represents 483,031 shares of the Registrant’s common stock reserved for issuance pursuant to future awards under the 2016 ESPP, which annual increase is provided for in the 2016 ESPP.

 

(5) Estimated in accordance with Rule 457(h) under the Securities Act (“Rule 457(h)”) solely for the purpose of calculating the registration fee. The price of $5.06 represents the weighted average exercise price for outstanding options under the 2006 Plan as of October 21, 2016.

 

(6) Estimated in accordance with Rule 457(h) solely for the purpose of calculating the registration fee on the basis of $17.00 per share, which is the initial public offering price per share of common stock set forth on the cover page of the Registrant’s Registration Statement on Form S-1 (File No. 333-213773) declared effective on October 19, 2016 relating to the Registrant’s initial public offering.

 

(7) Estimated in accordance with Rule 457(h) solely for the purpose of calculating the registration fee on the basis of 85% of $17.00 per share, which is the initial public offering price per share of common stock set forth on the cover page of the Registrant’s Registration Statement on Form S-1 (File No. 333-213773) declared effective on October 19, 2016 relating to the Registrant’s initial public offering. Pursuant to the 2016 ESPP, the purchase price of the shares of common stock reserved for issuance thereunder will be at least 85% of the lower of the fair market value of a share of common stock on the first trading day of the offering period or on the exercise date.

The validity of the issuance of the shares of the Registrant’s common stock offered hereby has been passed upon by Wilson Sonsini Goodrich & Rosati, P.C. (“WSGR”). An investment fund associated with WSGR beneficially owns 34,962 shares of the Registrant’s common stock.

 

Item 6. Indemnification of Directors and Officers.

The Registrant’s amended and restated certificate of incorporation contains provisions that eliminate, to the maximum extent permitted by the General Corporation Law of the State of Delaware, the personal liability of the Registrant’s directors and executive officers for monetary damages for breach of their fiduciary duties as directors or officers. The Registrant’s amended and restated certificate of incorporation and bylaws provide that the Registrant must indemnify its directors and executive officers and may indemnify its employees and other agents to the fullest extent permitted by the General Corporation Law of the State of Delaware.

Sections 145 and 102(b)(7) of the General Corporation Law of the State of Delaware provide that a corporation may indemnify any person made a party to an action by reason of the fact that he or she was a director, executive officer, employee or agent of the corporation or is or was serving at the request of a corporation against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him or her in connection with such action if he or she acted in good faith and in a manner he or she reasonably believed to be in, or not opposed to, the best interests of the corporation and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful, except that, in the case of an action by or in right of the corporation, no indemnification may generally be made in respect of any claim as to which such person is adjudged to be liable to the corporation.

The Registrant has entered into indemnification agreements with its directors and executive officers, in addition to the indemnification provided for in its amended and restated certificate of incorporation and bylaws, and intends to enter into indemnification agreements with any new directors and executive officers in the future.

The Registrant has purchased and intends to maintain insurance on behalf of each and any person who is or was a director or officer of the Registrant against any loss arising from any claim asserted against him or her and incurred by him or her in any such capacity, subject to certain exclusions.
