On November 11, 2015, the stockholders of ShoreTel, Inc. (“ShoreTel”) approved the ShoreTel, Inc. 2015 Equity Incentive Plan (the “2015 Plan”), which replaces ShoreTel’s 2007Equity Incentive Plan.  The terms of the 2015 Planare described in ShoreTel’s Definitve Proxy Statement (the “Proxy Statement”) filed with the U.S. Securities and Exchange Commission on October 13, 2015 and the description thereof contained in Proposal No. 4 are incorporated herein by reference. A copy of the 2015 Plan is included as Annex A to the Proxy Statement, which is also incorporated herein by reference.
