Company Response: Pursuant to the Staffs request, the Company has clarified its disclosure to indicate that the pro forma net income (loss) has been calculated to give effect to the transaction and the acquisition of ID Analytics as if those events had occurred at January 1, 2011. We confirm to the Staff that the numerator for the six-month period ended June 30, 2012 reflects the reduction in interest expense as a result of the proposed debt repayment. The pro forma disclosure has also been revised to give effect to the number of shares to be issued in the offering from which a portion of the proceeds will be used to pay the holders of the Companys Series E-1 preferred stock for every $0.01 per share the anticipated initial public offering price is below $15.7552 per share.
