Exercise of Over-Allotment Option for 1,875,000 ADSs

On January 19, 2018, Needham & Company, LLC, as representative of several other underwriters (“Needham”), exercised an over-allotment option (the “Option”) in full to purchase 1,875,000 additional American Depositary Shares (“ADSs”) from Sequans Communications S.A. (the “Company”) at the public offering price of $1.60 per ADS for approximate net proceeds to the Company of $2,820,000 under the Option. The Option closed on January 24, 2018.
