(the “Registrant”) with the Securities and Exchange Commission (the “Commission”) on March 2, 2007, and all exhibits filed thereto (the “Registration Statement”). The Registration Statement was filed to offer and sell up to 500,000 common shares of the Registrant to raise up to $2,000,000 to fund the Registrant’s operations. The Registrant has elected to abandon the offering.

Pursuant to Rule 477(a) under the Securities Act of 1933, as amended (the “Act”), the Registrant hereby respectfully requests that the Commission consent to the withdrawal of the Registration Statement and declares the withdrawal effective as soon as possible.
