Item 8.01 Other Events.

On November 4, 2009, the Company closed the sale and issuance of $2,214,000 in aggregate principal amount of its 8% Secured Convertible Promissory Notes (the “8% Convertible Notes”), convertible into the Company’s common stock at a conversion price of $2.05 per share.  As of May 15, 2010, $2,214,000 in principal amount and $99,139 in accrued interest had been converted.  The Company issued a total of 1,128,334 shares of common stock in payment of the 8% Convertible Notes.  Of that amount, 1,079,988 shares of common stock were issued in payment of principal and 48,346 shares of common stock were issued in payment of accrued interest.
