(a)	Amendment to Bylaws

On March 22, 2010, the Board of Directors of CyberDefender Corporation (the “Company”) amended the Company’s bylaws to provide that the Board of Directors may, by resolution, authorize that some or all of any or all classes or series of the Company’s shares be uncertificated. The foregoing description is only a summary and is qualified in its entirety by reference to the bylaws amendment attached hereto as Exhibit 3.1, which is incorporated herein by reference.

AMENDMENT

BYLAWS

CYBERDEFENDER CORPORATION

The following paragraph shall be added to Article VIII, Section 1 of the corporation’s bylaws:

“Notwithstanding the foregoing, the board of directors of the corporation may provide by resolution or resolutions that some or all of any or all classes or series of its shares shall be uncertificated shares. Any such resolution shall not apply to shares represented by a certificate until such certificate is surrendered to the corporation.”
