Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2009 Bing Liu resigned as a director.  Mr. Liu’s resignation was not as a result of a disagreement with us on any matter relating to our operations, policies or practices.  Mr. Liu did not serve on any committee of the board of directors.

While Mr. Liu resigned as a director, we expect him to serve as a member of our Advisory Board.  The Advisory Board was created in June 2008 and currently has one member, Mr. Sean Whitely.  The Advisory Board provides advice to us relating to strategic and financial matters.
