Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 8, 2008 Ivan Ivankovich resigned as our chief financial officer and as a director. Mr. Ivankovich’s resignation was not as the result of a disagreement with CyberDefender Corporation on any matter relating to its operations, policies or practices. Mr. Ivankovich will continue rendering services to us in accordance with the terms of his Consulting Agreement through January 31, 2008.
