Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

The Tennessee Valley Authority ("TVA") entered into an agreement on September 13, 2021, to issue $500 million of TVA's 1.500% Green Global Power Bonds 2021 Series A Due September 15, 2031 (the "Bonds"), and entered into an amendment to the agreement on September 15, 2021. The settlement date for the transaction is September 16, 2021. The Bonds bear a coupon rate of 1.500% and pay interest semi-annually on each March 15 and September 15, beginning March 15, 2022. The Bonds mature on September 15, 2031, and are not subject to redemption prior to maturity. After reflecting the transaction's discount and after deducting the fees of the managers, net proceeds to TVA are $498,035,000, exclusive of out-of-pocket expenses incurred in connection with offering the Bonds.

Item 8.01 Other Events.

On September 16, 2021, TVA released a final offering circular in connection with the planned issuance of the Bonds. A copy of the final offering circular is attached as Exhibit 99.1.
