Item 8.01    Other Events.

     On December 14, 2006, Altra Holdings, Inc. (the “Company”) announced the pricing of its initial public offering of its common stock, par value $0.001 per share (the “Shares”), at $13.50 per share. Of the 10,000,000 Shares being sold in the offering, 3,333,334 Shares are being sold by the Company and 6,666,666 Shares are being sold by certain selling stockholders, including Genstar Capital, the Company’s largest stockholder. Certain selling stockholders have also granted the underwriters a 30-day option to purchase up to an additional 1,500,000 Shares at the initial public offering price to cover over-allotments, if any. The Company’s common stock will be listed on the NASDAQ Global Market under the symbol “AIMC.” A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

Altra Holdings, Inc. Prices Initial Public Offering

Quincy, MA — December 14, 2006

Altra Holdings, Inc. (NASDAQ: AIMC) today announced the pricing of its initial public offering of its common stock, par value $0.001 per share, at $13.50 per share. Of the 10,000,000 shares being sold in the offering, 3,333,334 shares are being sold by Altra Holdings and 6,666,666 shares are being sold by certain selling stockholders, including Genstar Capital, Altra Holdings’ largest stockholder. Certain selling stockholders have also granted the underwriters a 30-day option to purchase up to an additional 1,500,000 shares at the initial public offering price to cover over-allotments, if any. Altra Holdings’ common stock will be listed on the NASDAQ Global Market under the symbol “AIMC.”

Merrill Lynch & Co. is acting as sole bookrunning manager and Jefferies & Company, Robert W. Baird & Co. and Wachovia Capital Markets, LLC are acting as co-managers for the offering.
