Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On July 3, 2024, Lewis Jaffe provided notice to FitLife Brands, Inc. (the “Company”) of his intention to retire from the Company’s Board of Directors and not stand for re-election as a director of the Company at the Company’s Annual Meeting of Stockholders (the “Annual Meeting”) expected to be held on August 13, 2024.
 
Mr. Jaffe’s decision was not the result of any disagreement on any matter relating to the operations, policies or practices of the Company.

Other Events.
 
On July 5, 2024, the Company issued a press release disclosing Mr. Jaffe’s intent to retire from the Board of Directors and therefore not stand for re-election at the Annual Meeting. A copy of the press release is attached hereto as Exhibit 99.1.
