(f/k/a Phoenix Energy Resource Corporation) (the “Company”), we respectfully request an extension of the Company's time to respond to the general comments of the staff (the “Staff”) of the Securities and Exchange Commission, set forth in the Staff’s letter, dated February 11, 2011, with respect to Amendment No. 2 to the Company’s current report on Form 8-K filed on January 11, 2011.

The Company was unable to respond within the prescribed time period due to the fact that it has not completed the process of preparing and integrating the information requested by the Staff.
