Explanation of Responses:

1. Mr. Brickman gifted these shares in an exempt transaction pursuant to Rule 16b-5 under the Exchange Act.

2. Reflects the transfer of 40,000 shares of common stock previously held indirectly by the Brickman Living Trust of which Mr. Brickman was the trustee and a potential beneficiary, which shares are now held directly by Mr. Brickman.

3. These stock options are immediately exercisable.

Remarks:

Mr. Brickman is no longer a co-trustee of the Roger E. Brickman GST Marital Trust. As a result, Mr. Brickman may no longer be deemed to have beneficial ownership of the shares held in such trust.
