Explanation of Responses:

1. This amendment to the Form 4 filed on March 7, 2024 (the "Original Form 4") is being filed to correct a typographical error on two of the three reported transactions. The Original Form 4 incorrectly reflected the two transactions in Column 3 as Code A (grant, award or other acquisition pursuant to Rule 16b-3(d)) rather than a Code P (open market purchase). All other information in the Original Form 4, including the amount of the shares purchased, the price of the purchase and the amount of shares beneficially owned following the reported transactions, was accurate.
