ITEM 1.01 Entry into a Material Definitive Agreement.

 

On December 4, 2019, Information Services Group, Inc. (“ISG” or the “Company) amended its senior secured credit facility (such credit facility, as amended, the “2016 Credit Agreement” and such amendment, the “Amendment”) to allow for an increase in the amount of permitted repurchases of equity interests by the Company to $8,000,000 per year; provided the Company is in compliance with certain financial covenants on a pro forma basis after giving effect to such repurchases. The above description of the Amendment does not purport to be a complete statement of the provisions thereof. Such description is qualified in its entirety by reference to the Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
