Conflict Minerals Report of FireEye, Inc.
in accordance with Rule 13p-1 under the Securities Exchange Act of 1934
This Conflict Minerals Report (this “Report”) for FireEye, Inc. (“FireEye”, “our” or “we”) covers the reporting period from January 1, 2020 to December 31, 2020, and is presented in accordance with Rule 13p-1 (“Rule 13p-1”) promulgated under the Securities Exchange Act of 1934, as amended.
This Report is filed as Exhibit 1.01 to FireEye’s Specialized Disclosure Report on Form SD (the “Form”), and a copy of this Report and the Form are publicly available on FireEye's website at https://investors.fireeye.com/financial-information/sec-filings.
Introduction
In 2010, the United States enacted the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Act”). Section 1502 of the Act specifically relates to conflict minerals and required the United States Securities and Exchange Commission (“SEC”) to promulgate regulations (“Conflict Minerals Regulations”) requiring companies covered under the Act to annually file a Specialized Disclosure Report on Form SD with the SEC to disclose whether certain specified conflict minerals (as discussed below) used in their products directly or indirectly finance or benefit armed groups in the Democratic Republic of the Congo or any country that shares an internationally recognized border with the Democratic Republic of the Congo (collectively, the “Covered Countries”). Rule 13p-1 imposes certain reporting obligations on SEC registrants whose manufactured products contain minerals originating in the Covered Countries. The minerals subject to Rule 13p-1 (“Conflict Minerals”) are columbite-tantalite (coltan), cassiterite, gold, wolframite and their derivatives, which are limited to tantalum, tin and tungsten. Please refer to Rule 13p-1, Form SD and SEC Release No. 34-67716 for definitions of the terms used in this Report, unless otherwise defined within this Report.
Pursuant to the statement issued by SEC staff on April 29, 2014 in addition to the SEC order issued on May 2, 2014, FireEye is not required to describe any of its products as “DRC conflict free” (as defined in Section 1, Item 1.01(d)(4) of Form SD), “DRC conflict undeterminable” (as defined in Section 1, Item 1.01(d)(5) of Form SD) or “having not been found to be ‘DRC conflict free,’” and therefore makes no conclusion in this regard in the report presented herein. Furthermore, given that FireEye has not voluntarily elected to describe any of its products as “DRC conflict free,” an independent private sector audit of the report presented herein has not been conducted.
Pursuant to Rule 13p-1, if, based upon a reasonable country of origin inquiry (“RCOI”), a registrant has reason to believe that any of the Conflict Minerals in its supply chain may have originated in one of the Covered Countries, or if such registrant is unable to determine the country of origin of those Conflict Minerals, then it must file a Conflict Mineral Report with the SEC describing the due diligence measures it has undertaken or will undertake regarding the source and chain of custody of the Conflict Minerals.
Reasonable Country of Origin Inquiry Process
FireEye has determined that components in its enterprise security hardware products, including its network security, endpoint and threat analytics products (the “Security Hardware Products”), contain Conflict Minerals and that such Conflict Minerals are necessary to the functionality of such products. Accordingly, FireEye was required to undertake a RCOI with respect to Conflict Minerals that is reasonably designed to determine whether any of the Conflict Minerals originated in the Covered Countries. Due to our limited ability to determine the origin and chain of custody of Conflict Minerals necessary to the functionality or production of our products as described below, we have filed this Report.
Due Diligence Process
FireEye has closely followed the guidelines provided by the Organisation for Economic Co-operation and Development (the “OECD”) in conducting our due diligence. As a company that relies solely on third-party contract manufacturers to build its products, FireEye is several levels removed from the mining, smelting or refining of Conflict Minerals. FireEye does not purchase raw ore or unrefined Conflict Minerals and makes no purchases in the Covered Countries.
FireEye undertook due diligence measures to determine the Conflict Minerals status of the necessary Conflict Minerals used in FireEye’s enterprise Security Hardware Products. In conducting its due diligence, FireEye implemented the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas (“OECD Framework”), an internationally recognized due diligence framework.
FireEye performed the following due diligence measures in accordance with the OECD Framework:
OECD Guidance Step #1: Establish Strong Company Management Systems
•FireEye maintains a Conflict Minerals Policy (the “Conflict Minerals Policy”) that sets forth (i) FireEye’s commitment to complying with Conflict Minerals Regulations and (ii) FireEye’s expectations of its suppliers regarding supporting FireEye’s compliance activities. The Conflict Minerals Policy can be found on our website at https://investors.fireeye.com/corporate-governance/documents.
•As part of its contract manufacturer selection process, FireEye engages in a review of each potential contract manufacturer’s supply chain policies and procedures. FireEye confirms its contract manufacturers have an established system of control and transparency over their mineral supply chain. Further, FireEye has made efforts to communicate to its contract manufacturers and suppliers the need for Rule 13p-1 compliance.
•The implementation of FireEye’s RCOI and the conducting of due diligence on the source and chain of custody of FireEye’s necessary conflict minerals are managed by FireEye’s legal and operations departments.
•The legal and operations staff responsible for conflict minerals compliance are knowledgeable regarding conflict minerals compliance and are required to be familiar with FireEye’s Conflict Minerals Policy and with FireEye’s conflict minerals-related processes.
•Material conflict minerals-related records, including completed CMRTs (as defined below), will be maintained by FireEye for a period of five (5) years from the date of creation.
•FireEye’s Conflict Minerals Policy has been made available to existing suppliers, and FireEye makes the Conflict Minerals Policy available to new suppliers during the conflict minerals diligence process. Fire Eye has set internal and external expectations that the policy must be followed.
•Interested parties can report improper activities in violation of the Conflict Minerals Policy via email at environmental-relations@fireeye.com.
OECD Guidance Step #2: Identify and Assess Risk in the Supply Chain
•FireEye has requested that its suppliers complete in full the Electronic Industry Citizenship Coalition / Global e-Sustainability Initiative (“EICC/GeSI”) Conflict Minerals Reporting Template (the “CMRT”). The CMRT is designed to request from suppliers sufficient information regarding its suppliers’ practices with respect to the sourcing of conflict minerals to enable it to comply with its requirements under the Conflict Minerals Regulations, including identifying smelters and refiners.
•FireEye’s legal and operations departments manage the collection of information reported on the CMRT by FireEye’s suppliers and compared the smelters and refiners identified in the supply-chain survey against the list of smelter facilities that have been identified as “conflict free” by programs such as the EICC/GeSI Conflict Free Smelter Program for Conflict Minerals.
OECD Guidance Step #3: Design and Implement a Strategy to Respond to Identified Risks
•If, on the basis of areas of concern that are identified as a result of either (i) the supplier data acquisition or engagement processes or (ii) the receipt of information from other sources, FireEye determines that a supplier is sourcing conflict minerals that are directly or indirectly financing or benefiting armed groups, FireEye will enforce the Conflict Minerals Policy by means of a series of escalations.
•Such escalations may range from prompt engagement with the supplier to resolve the sourcing issue, to requiring such supplier to implement a risk management plan (which plan may involve, as appropriate, remedial action up to and including disengagement from upstream suppliers), to disengagement by FireEye from the applicable supplier.
OECD Guidance Step #4: Carry Out Independent Third-Party Audit of Supply Chain Due Diligence at Identified Points in the Supply Chain
•Given that we do not have a direct relationship with the smelters and refiners that process the conflict minerals that are present in our products, we rely on the Conflict-Free Sourcing Initiative (the “CFSI”) to conduct third-party audits of smelters and refiners.
OECD Guidance Step #5: Report on Supply Chain Due Diligence
•As required by the Conflict Minerals Regulations, we have filed the Form and this Report as an exhibit thereto for the 2020 reporting year. The Form and this Report are also available on our website at https://investors.fireeye.com/financial-information/sec-filings.
Smelters and Refiners Identified
As a result of FireEye’s reasonable country of origin inquiry and due diligence, 100% of our individual suppliers based on the bill of materials of our products as of December 31, 2020 provided completed CMRTs to FireEye. FireEye’s suppliers identified the names of certain smelters and refiners from which they source conflict minerals. With respect to the smelters and refiners identified, although we were not able to determine the mines of origin of the conflict minerals sourced from such smelters and refiners, we were able to determine their country locations. Attached as Addendum A to this Report is a list of smelters and refiners and their country locations, grouped according to the specific conflict mineral processed by such smelters or refiners.
Steps to Mitigate Risk
In order to mitigate the risk that conflict minerals benefit armed groups, FireEye intends to:
•Continue to engage with its suppliers to obtain completed CMRTs; and
•Encourage the development of supplier capabilities to perform conflict-minerals related due diligence by the implementation of risk mitigation measures, as appropriate.
