(b) Departure of Director

    On January 6, 2010, Ashoke Goswami notified Double-Take Software, Inc. (the “Company”) that he would not stand for re-election to the Company’s Board of Directors at the 2010 Annual Meeting of Shareholders. Mr. Goswami has served on the Company’s Board of Directors since 2002 and currently serves as Chairman of the Nominating and Corporate Governance Committee of the Company’s Board of Directors. Mr. Goswami indicated his decision was not the result of any disagreement with the Company or any matter relating to the Company’s operations, policies or practices. Mr. Goswami will serve the remainder of his term as a director.
