Introductory Statement

 

This Amendment No. 2 (“Amendment No. 2”) is a final amendment, which amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (“SEC”) on February 15, 2019 (collectively with Amendment No. 1 to the Schedule TO, filed with the SEC on March 22, 2019, and this Amendment No. 2, the “Schedule TO”), by GTJ REIT, Inc., a Maryland corporation (the “Company”). The Schedule TO relates to an offer by the Company to purchase for cash up to 100,000 shares (the “Shares”) of the Company’s issued and outstanding common stock, par value $0.0001 per share (“Common Stock”), upon the terms and subject to the conditions contained in the Offer to Purchase, dated February 15, 2019 (the “Offer to Purchase”), and the related Letter of Transmittal (the “Letter of Transmittal”) (which, together with any amendments or supplements thereto, collectively constitute the “Offer”), which are filed as exhibits to the Schedule TO. The purchase price for the Shares is $8.50 per share, in cash, less any applicable withholding taxes and without interest. The Schedule TO is intended to satisfy the reporting requirements of Rule 13e-4(c)(2) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).

 

This Amendment No. 2 is being filed to report the results of the Offer and is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) of the Exchange Act.

Item 11 of the Schedule TO is hereby amended and supplemented by adding the following:

 

The Company has received the final results of the Offer, which expired at 12:00 Midnight, New York City Time, on April 5, 2019. The Company has accepted for purchase 37,910 Shares properly tendered and not properly withdrawn prior to the expiration of the Offer at a purchase price of $8.50 per Share, for an aggregate purchase price of $322,235, excluding fees and expenses relating to the Offer. The 37,910 Shares accepted for purchase in the Offer represent approximately 0.28% of the Company’s 13,569,664 outstanding Common Stock as of April 5, 2019. American Stock Transfer & Trust Co., LLC, the Depositary for the Offer, will promptly issue payment for the Shares validly tendered and accepted for purchase in accordance with the terms and conditions of the Offer.
