ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES

On January 2, 2008, Nilam Resources, Inc. (the “Company”), in reliance upon Regulation S under the Securities Act of 1933, as amended, arranged the sale of 323,727 units at $.50 per unit for gross proceeds of $270,000.  Each unit consists of one share of Common Stock and one Warrant to purchase a share of Common Stock at an exercise price of $.60 for 24 months.  The stock was purchased by individuals who are directors and associates of the company.

The Company intends to use the proceeds from this Regulation S offering to finance its planned acquisition of mining assets in Peru and for working capital.
