COMMITMENTS AND CONTINGENCIES Contingencies As of December 31, 2019, we were neither a defendant in any material pending legal proceeding nor were we aware of any material threatened claims against us; therefore, we have not accrued any contingent liabilities, exclusive of the liability for the Earnout Payment related to the VDC Acquisition. As of December 31, 2019, we have accrued approximately $1.1 million related to the Earnout Payment. See Note 4 for more information regarding the Earnout Payment.
