Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2018, Mr. Jordan S. Davis notified Athersys, Inc. (the “Company”) that he will not stand for reelection as a member of the Company’s Board of Directors at the Company’s 2018 annual stockholder meeting on June 18, 2018. Mr. Davis has been a member of the Audit Committee of the Board. Mr. Davis’ decision was not the result of any disagreement with the Company.
