Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Our Chairman, President and Chief Executive Officer, Robert E. Marziano, has taken a temporary medical leave of absence, effective immediately. In his absence, on August 10, 2010, our Board of Directors appointed Stephen R. Talbert, our Vice Chairman, to serve as Interim Chief Executive Officer of our company and our subsidiary, Bank of the Carolinas, until Mr. Marziano returns. As Vice Chairman, Mr. Talbert also will perform the duties of the Board’s Chairman.

Mr. Talbert, age 64, joined the Bank on December 31, 2001, in connection with the Bank’s acquisition of BOC Financial Corp. Previously, he had served as Chairman, President and Chief Executive Officer of BOC Financial Corp since its organization during 1998, and in the same positions with that company’s bank subsidiary or its predecessor since 1971. He served as the Bank’s Chairman and Executive Vice President until 2004, and he currently serves as Vice Chairman of our and the Bank’s Boards and manages the Bank’s Landis, North Carolina office.
