EXPLANATORY NOTE

The purpose of this amendment is to furnish an amended Form of Warrant and an amended Form of Agent Warrant, which had previously been furnished by Avalon Rare Metals Inc. (the “Company”) on Form 6-K to the United States Securities and Exchange Commission on June 10, 2014, as Exhibits 99.4 and 99.5. All other information included in the Form 6-K remains unchanged.
