Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2008, Allegiant Travel Company (the "Company") received notice from Robert L. Priddy that he did not wish to be nominated for another term as Director of the Company. As such, Mr. Priddy’s term as a Director of the Company will expire on May 16, 2008, the date of the Company’s 2008 annual stockholder meeting. Mr. Priddy’s wish not to stand for re-election to the Board of Directors was not the result of any disagreement with the Company or its other executive management relating to the Company's operations, policies or practices.
