Employee Benefit Trust Share Purchase 
 
The Company was notified on 20 July 2020 by the Trustee of The Micro Focus Employee Benefit Trust ("EBT") that the EBT had purchased 16,000 ordinary shares of 10 pence each in the Company on 20 July 2020 at a price of 288.23 pence per share.
 
The EBT is a discretionary trust for the benefit of employees of the Company and its subsidiaries, including the Executive Directors of the Company.
 
The shares will be used to satisfy vesting of share awards and exercises of share options granted to employees under the Company's employee share plans.
 
Following this transaction, a total of 16,000 shares representing 0.0048% of the Company's total voting rights, are held in the EBT.
