The Registrant is unable to file, without unreasonable effort and expense, its Form 10-QSB quarterly report for the quarter ended February 29, 2008 because the Registrant's attorneys and auditors have not yet completed their review of the quarterly financial statements and related disclosures contained in Form 10-QSB.

The Registrant's auditors and attorneys are finalizing their review of the financial statements and related disclosures, and it is anticipated that the Form 10-QSB quarterly report will be filed on or before the fifth calendar day following the prescribed due date of the Registrant's Form 10-QSB.
