ITEM 2.02       RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

         On February 7, 2008, Fox Chase Bancorp, Inc. (the "Company"), the
holding company for Fox Chase Bank, issued a press release announcing: (1) its
financial results for the quarter and year ended December 31, 2007; (2) that its
Board of Directors had approved the repurchase of 327,000 shares of the
Company's common stock; and (3) that its annual meeting of stockholders will be
held on Thursday, May 22, 2008 at 9:00 a.m. at the Doubletree Guest Suites, 640
West Germantown Pike, Plymouth Meeting, Pennsylvania. For more information,
reference is made to the Company's press release dated February 7, 2008, a copy
of which is attached to this Report as Exhibit 99.1 and is furnished herewith.
