Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 16, 2022, Mr. Robert N. Riddle, Jr. resigned as Chief Operating Officer of Energy Services of America Corporation (the “Company”) effective immediately. Pursuant to the resignation, the Company and Mr. Riddle agreed to the Severance Agreement, Waiver and Release of Claims (“Agreement”) attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference. As part of the Agreement, the Company agreed to pay $100,000 in severance to Mr. Riddle in return for the release and forever discharge of any and all causes of action, claims, demand, suits, damages, losses, expenses, injuries, sums of money, and/or judgements including but not limited to any and all matters relating to his employment with the Company or the resignation of his employment from the Company.
