Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective October 22, 2008, Dr. Michael Sugarman, M.D. tendered his resignation as a member of the Board of Directors of China Tel Group, Inc. (the “Company”) and the Company accepted the tendered resignation.  The seat of the Board of Directors of the Company vacated by Dr. Sugarman will remain vacant until the Company identifies an replacement.
