Mellanox Technologies, Ltd. Announces Filing of 2013 10-K/A; Schedules Conference Call for January 29, 2015

 

SUNNYVALE, Calif. and YOKNEAM, ISRAEL — Jan. 29, 2015 — Mellanox® Technologies, Ltd. (NASDAQ: MLNX), a leading supplier of end-to-end interconnect solutions for servers and storage systems, announced that it will conduct a conference call today, Thursday, January 29, 2015, at 5 a.m. Pacific Time (8 a.m. Eastern Time) to discuss and review its amended Form 10-K/A for fiscal 2013 filed today with the Securities and Exchange Commission (“SEC”).

 

The Company filed revised financial statements to correct certain immaterial errors in fiscal years 2011, 2012, and 2013 and to report material weaknesses identified in internal control over financial reporting. The following is a summary of the revision impact on earnings per diluted share:

 

·                  2010 GAAP and non-GAAP EPS increased by $0.01.

·                  2011 GAAP and non-GAAP EPS increased by $0.01.

·                  2012 GAAP and non-GAAP EPS increased by $0.01.

 



 

·                  2013 GAAP and non-GAAP EPS were reduced by $0.01.

 

“I’m pleased to announce that we completed the review of our financial statements for 2011, 2012 and 2013, and that the revision impact on previously filed financial statements is not material,” said Jacob Shulman, chief financial officer of Mellanox Technologies. “The remediation of the material weaknesses in internal control over financial reporting is progressing and we will update you as we complete the process.”

GAAP to Non-GAAP Reconciliation

 

To supplement our consolidated financial statements presented in accordance with generally accepted accounting principles (GAAP), Mellanox uses non-GAAP measures of net income which are adjusted from results based on GAAP to exclude share-based compensation expense, amortization expense of acquired intangible assets, acquisition related expense, settlement costs and changes related to recognition of deferred tax valuation allowance. The company believes the non-GAAP results provide useful information to both management and investors, as these non-GAAP results exclude expenses that are not indicative of our core operating results. Management believes it is useful to exclude share-based compensation expense, amortization expense of acquired intangible assets, acquisition related expense, settlement costs and changes related to recognition of deferred tax valuation allowance because it enhances investors’ ability to understand our business from the same perspective as management, which believes that such items are not directly attributable to nor reflect the underlying performance of the company’s business operations. Further, management believes certain non-cash charges such as share-based compensation, amortization of acquired intangible assets and changes related to recognition of deferred tax valuation allowance do not reflect the cash operating results of the business. These measures should be considered in addition to results prepared in accordance with GAAP, but should not be considered a substitute for or superior to GAAP results. These non-GAAP measures may be different than the non-GAAP measures used by other companies. A
