TAM's shareholders approve unanimously of the exchange ratio of shares with LAN

 

São Paulo, January 3rd, 2011 - (BM&F BOVESPA: TAMM4/NYSE: TAM) - In a shareholders´ meeting held today (3), the shareholders of TAM S.A. chosed in accordance with section 10.1 of the Corporate Governance Rules  Level 2 of BM&FBOVESPA, to approve the appraisal report of Banco Bradesco BBI S.A., which indicates the values of TAM S.A. and of LAN Airlines S.A., parameters that will serve as basis for the exchange ratio of shares between the two companies. With this choice,  a public exchange offer of shares might be launched for cancellation of registration as a public company, observing the exchange ratio of 0.9 LAN BRD for each TAM share. The decision was unanimous, and were represented 14.95% of the free float of TAM. 

 

Given the above, the period of 15 days mentioned in § 1 of Art. 4-A of the Brazilian Corporate Law and in section I and § 1 of Art. 24 of CVM Instruction 361, for the revision of the offer price, will begin the day after the date of publication of this press release and will expire on January 18, 2012.

 

This is an important step in the process, which will result in the creation of LATAM Airlines Group.  The companies to complete this process until the end of the first quarter of 2012.
