Accelerize Inc. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the period ended June 30, 2019 (the “Quarterly Report”). The Company has determined that it is unable to file the Quarterly Report within the prescribed time period without unreasonable effort or expense. Additional time is necessary as the Company is still working on the completion of the financial statements for the period ended June 30, 2019.

 

The Company currently expects to file the Quarterly Report within the 5 calendar day extension period provided by Rule 12b-25.

The Company’s results of operations for the three and six months ended June 30, 2019 are anticipated to be significantly different from the corresponding period in the prior fiscal year due to the sale of substantially all of the assets associated with the Company’s CAKE and Journey by CAKE business (the “CAKE Business”) which closed on June 18, 2019. As a result of the gain on the sale of the CAKE Business, it is anticipated the Company will have net income available to common shareholders of approximately $14.6 million and $13.6 million for the three and six months ended June 30, 2019, respectively, which includes gains from discontinued operations of approximately $15.2 million and $14.5 million for the three and six months ended June 30, 2019, respectively. The Company had net losses of approximately $1.6 million and $2.8 million during the three and six months ended June 30, 2018, respectively.

 

The above financial data is preliminary, based upon the Company’s estimates and subject to completion of the Company’s financial statements. Moreover, this data has been prepared on the basis of currently available information. The Company’s independent registered public accounting firm has not audited or reviewed, and does not express an opinion with respect to, this data. This data does not constitute a comprehensive statement of the Company’s financial results for the period ended June 30, 2019, and the Company’s final numbers for this data may differ materially from these estimates.
