Item 2.02. Results of Operations and Financial Condition.
On August 8, 2024, EPAM Systems, Inc. (the “Company” or “EPAM”) issued a press release and an infographic discussing its results of operations for the second quarter ended June 30, 2024. A copy of the press release and the infographic are attached as Exhibits 99.1 and 99.2, respectively, to this report and are incorporated by reference into this Item 2.02.

On August 1, 2024, EPAM's Board of Directors approved a common stock repurchase program, authorizing EPAM to repurchase up to $500 million of EPAM Systems, Inc. common stock. A copy of the press release announcing the common stock repurchase program is attached hereto as Exhibit 99.1.
