Item 2.02 Results of Operations and Financial Condition.

On August 7, 2019, Avalara, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2019 and providing its business outlook. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 2, 2019, Benjamin J. Goux resigned as a member of the Board of Directors (the “Board”) of the Company and as a member of the committees of the Board on which he served, effective immediately. There were no disagreements between the Company and Mr. Goux that led to his decision to resign.

On August 2, 2019, Gary L. Waterman resigned as a member of the Board of the Company and as a member of the committee of the Board on which he served, effective immediately. There were no disagreements between the Company and Mr. Waterman that led to his decision to resign.
