Item 8.01 Other Events.
     In accordance with the terms of our follow-on public offering (the “Offering”) of shares of our common stock pursuant to our Registration Statement on Form S-11 (Registration No. 333-157375), we terminated the Offering on the two-year anniversary of its SEC effectiveness, July 17, 2011. As reported in a Form 8-K filed on January 5, 2011, the Offering previously had been suspended. We will continue to offer shares of our common stock pursuant to our distribution reinvestment plan pursuant to a Registration Statement on Form S-3 (Registration No. 333-173104).
