Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On April 3, 2012, the Compensation Committee of the Board of Directors of Alexza Pharmaceuticals, Inc. (the “Company”) approved an increase in the base salary of Mark K. Oki, the Company’s Vice President, Finance, Controller, Secretary, Principal Financial Officer and Principal Accounting Officer, to $255,000. This increase was made effective as of April 1, 2012.
