Item 8.01. Other Events.

On May 4, 2006, Richard Szymanski resigned from his position as Secretary of the Company. On May 4, 2006, the Board of Directors of the Company appointed Jennifer Nellany, the Company’s General Counsel, as Secretary of the Company. Richard Szymanski continues to serve as the Chief Financial Officer and Assistant Secretary of the Company.
