AMENDMENT OF PRIVATE PLACEMENT UNIT FINANCING

Sutcliffe Resources Ltd. (the “Company”) announces that its private placement unit financing originally announced on January 13, 2006 and amended on January 16, 2006, will be increased up to 4,610,000 units at $0.55 per unit and will raise up to $2,535,500. All other terms and conditions shall remain the same.
