Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective December 19, 2008, Jia Long Wen was appointed to serve as a director and Chief Operations Officer of the registrant.  Mr. Wen has over 20 years of experience in the areas of product development, sales and marketing in Mainland China.  For the past few years, he has been involved primarily as the managing director of Zhiweilong Technology Co. Ltd., a company incorporated in Shenzhen, China, that manufactures and provides smart card readers, power cables, and digital television top boxes in China and the global market.  In 1999, Mr. Wen graduated from the Zhongshan University with a bachelor’s degree in Business Administration.  He is currently a member of the National People’s Congress of the China Guangdong Province Maoming Region.
