DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On February 4, 2007, Steve Wozniak resigned from his positions as Executive Vice President, Chief Technology Officer and Chief Visionary Officer of Jazz Technologies, Inc. (the “Company”), effective immediately. In his resignation letter, Mr. Wozniak said that with all his other activities, it had become apparent that he was unable to devote sufficient time to the Company to contribute in the way he had hoped. The Company has no current plans to replace Mr. Wozniak, who had been serving the Company in an unpaid capacity.
