ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
 
On July 16, 2007, Jazz Technologies, Inc. announced preliminary financial results for the second quarter of 2007. A copy of the press release announcing the preliminary financial results is furnished herewith as Exhibit 99.1.

ITEM 7.01.  REGULATION FD DISCLOSURE.
 
On July 18, 2007, Jazz Technologies, Inc. announced that its previously disclosed $50 million stock and warrant repurchase program has been extended through October 15, 2007. The repurchase program was originally scheduled to terminate on July 15, 2007. A copy of the press release announcing the extension of the stock and warrant repurchase program is furnished herewith as Exhibit 99.1.
