ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On March 21, 2007, Jazz Technologies, Inc. (the “Company”) announced that, effective March 30, 2007, Dr. Shu Li, an Executive Vice President of the Company and President and Chief Executive Officer of the Company’s wholly owned subsidiary, Jazz Semiconductor, Inc., will resign in order to pursue other opportunities. Dr. Gilbert F. Amelio, the Company’s Chairman and Chief Executive Officer, will assume Dr. Li’s duties, and will remain in this role for the foreseeable future.
