(c) Effective April 24, 2006, Steven A. Barkauskas, age 41, was appointed as Vice President and Corporate Controller (principal accounting officer) of the registrant. Prior to joining the registrant, he served as Vice President Total Rewards and Director Financial Reporting and Accounting Research at NiSource from June 2001 to April 2006. Mr. Barkauskas holds a bachelor’s degree in accounting from the University of Illinois and is a Certified Public Accountant.
