State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

As previously reported on a Form 12b-25, Clear Channel Outdoor Holdings, Inc. (the “Company”) was unable to file its annual report on Form 10-K for the fiscal year ended December 31, 2017 (the “Annual Report”) within the prescribed period due to a delay in completion of the financial statements of Clear Media Limited, an indirect, non-wholly-owned subsidiary of the Company whose ordinary shares are listed, but are currently suspended from trading, on the Hong Kong Stock Exchange. The Company determined that it was necessary and prudent to delay the filing of the quarterly report on Form 10-Q for the three months ended March 31, 2018 (the “Form 10-Q”) to allow management to focus on completing the Annual Report. Due to the competing demands on management, the delay in filing the Form 10-Q could not be avoided.

The Company currently expects to be able to file the Form 10-Q on May 22, 2018, which is after the prescribed fifth calendar day from the due date of the Form 10-Q.

The Company expects to report consolidated revenues of approximately $599 million for the three months ended March 31, 2018 compared to consolidated revenue of $544.7 million for the three months ended March 31, 2017. Excluding the impact from movements in foreign exchange rates of approximately $35 million, consolidated revenue increased approximately $19 million. The increase is due primarily to revenue growth from its international business. The Company expects to report consolidated operating loss of approximately $(8) million for the three months ended March 31, 2018 compared to consolidated operating income of $21.6 million for the three months ended March 31, 2017. The approximately $30 million decrease in operating income is due primarily to a $28.6 million gain on the exchange of the outdoor Indianapolis market for certain assets in Atlanta, Georgia and cash recognized during the three months ended March 31, 2017. The Company expects to report consolidated net loss of approximately $(128) million for the three months ended March 31, 2018, compared to consolidated net loss of $(29.0) million for the three months ended March 31, 2017. The increase in net loss is due primarily to the decrease in operating income described above, an increase in income tax expense and the reduction in interest income recognized in relation to the Due from iHeartCommunications Note during the three months ended March 31, 2018, partially offset by foreign exchange gains recognized in connection with intercompany notes denominated in foreign currencies.
