Rajiv and Sanjay Narang are sons of the Reporting Person.  The Reporting Person does not have control over these trusts.  The Partnership is the owner of 1,100,000 Class A common shares of NCI, Inc.  The general partner of the Partnership is Narang Family, LLC, which is managed by Dinesh Bhugra, who is not controlled by the Reporting Person.  The transaction was entered into for estate planning purposes.</footnote>
